Acquires the Croatian furniture producer Spin Valis

Pervanovo, the parent company of Bjelin industries in Croatia and Välinge Group in Sweden, has through its subsidiary Välinge Croatia signed an agreement to acquire 85% of the shares in the Croatian furniture company Spin Valis. The intention is to acquire 100% of the shares. The acquisition means that large-scale production and marketing of furniture with Välinge’s click technology can be achieved faster than originally planned and the availability of oak material will increase. The acquisition requires approval from the antitrust authorities. Spin Valis will be renamed Bjelin Spinvalis.

Spin Valis is one of Croatia’s largest manufacturers of solid oak furniture. Production also includes elements, glued solid boards and electricity based on bioenergy and solar panels. Spin Valis in Požega, Croatia, has 420 employees.

“We are pleased that we have now completed our fifth acquisition in Croatia. Major investments in new technology, buildings and machinery have been made at all production facilities. With our new facility in Ogulin, where we are building the largest wood flooring factory in Europe, our Croatian group of companies will be very efficient and competitive, especially in oak-based products. Spin Valis and all our other Croatian companies are very profitable. The acquisition of Spin Valis will increase our sales in Croatia by € 30 million to € 170 million and our operating result for 2022 will exceed € 40 million. Our intention is to continue developing Spin Valis as a premium furniture producer and together with our furniture production at Bjelin Spacva, our aim is to become one of the leading furniture manufacturers in Europe in our field ” says Darko Pervan, owner and CEO of Pervanovo Invest AB.

“Our goal is to commercialize our patented technologies through our own production and sales. We believe that we can greatly expand the Spin Valis company’s furniture production by implementing Välinge’s click-furniture technology. Further we will introduce our Woodura® hardened wood technology into furniture applications as well. We believe that our international sales staff and our online sales can greatly contribute to the growth of Spin Valis furniture sales. In addition to the new production of high-capacity floors based on Woodura technology in Ogulin, we plan to invest in a new core material factory that will make our future production of floors and furniture even more integrated and cost efficient” said Niclas Håkansson, CEO of Välinge.

“The takeover of Spin Valis will significantly increase our production and sales, and the number of employees will increase to a total of 2,200. Our investments in Croatia have created hundreds of new jobs so far, and all our facilities are very modern and efficient. Coordination of production and sales will significantly increase profitability, especially when it comes to oak products such as solid furniture, three-layer parquet, lamellas, veneer, elements, and glued panels but also pellets and briquettes for bioenergy. We already hold a strong position on the European market of oak products, and it will strengthen even more when our new investments in the production of wooden floor with Woodura®-coverings and in new veneer production capacities in Bjelin Spačva and Bjelin Otok become operational during 2023 and 2024. It is also important to point out that with the acquisition of Spin Valis, we are strongly entering the production of green electricity and thermal energy, which will further contribute to the sustainability of our products.” says Stjepan Vojinić, CEO of Bjelin Industries.

The members of the Management Board and Supervisory Board of Spin Valis are also extremely satisfied with the outcome of the process.

“We can say with pleasure that the key goal of the process of our exit from ownership has been achieved. We are handing Spin Valis over to an experienced and innovative new owner who has over 3,000 patents and is known for his excellent attitude towards employees. I wish everyone the best of luck and I am sure of the long-term success of this venture,” says the president of the Spin Valis Supervisory Board, Vinko Pisarović.

One billion euros in sales exceeded

According to preliminary figures for the fiscal year 2022 ended September 30, Stabilus has exceeded the sales threshold of one billion euros for the first time with annual sales of 1,116.3 billion euros. As a result, the company also exceeded its sales forecast of around EUR 1,070 million, which was raised in August 2022. After an already strong nine months, sales and earnings growth accelerated further in the fourth quarter. The Americas and APAC operating segments (regions) in particular contributed to this development, supported mainly by strong global growth in the Automotive Powerise business unit.

In the fourth quarter of FY2022, Stabilus increased its sales by 39.5 percent year-on-year to €320.3 million (Q4 FY2021: €229.6 million). Adjusted for currency effects, the increase in consolidated sales amounted to 31.9 percent. This means that fourth-quarter revenue is also significantly above the level before the pandemic began in 2019.

Stabilus thus increased the previous year’s revenue of €937.7 million by 19.0 percent, organically, or 14.2%, year-on-year. Adjusted EBIT of 156.2 million euros (previous year: 135.0 million euros) corresponds to an adjusted EBIT margin of 14.0 percent.

“In the current overall economic situation and global market turmoil, we not only fully met our forecast, but also exceeded our long-set target of a sales threshold of €1 billion,” said Dr. Michael Büchsner, CEO of Stabilus. “In particular, the strong growth of the Automotive Powerise business unit shows that we are technologically well positioned and that it is above all innovations that are charting the way ahead for Stabilus.”

For fiscal 2023, Stabilus expects sales of €1.1 billion to €1.2 billion and an adjusted EBIT margin in a range of 13 to 14 percent. The range of sales and earnings expectations reflects current macroeconomic and geopolitical uncertainties. Stabilus continues to pursue its long-term strategy with the cornerstones of profitable and sustainable growth, customer and employee satisfaction, innovation and sustainability.

EUnited Robotics & VDMA Robotics + Automation

Will be on the road together in the future

EUnited Robotics and VDMA Robotics + Automation are merging to form a strong platform for the European robotics industry. The members of EUnited Robotics will be represented by VDMA R+A from January 2023.

“We will pool our resources in a strong European platform to leverage the benefits of automation in Europe. This will allow us to become more efficient in developing standards for the smart factory of the future, more vocal on regulatory issues, and committed to advancing our approach of a human-centric future of work,” says Wilfried Eberhardt, chairman of EUnited Robotics.

“VDMA Robotics + Automation brings together more than 370 member companies from 13 European countries,” says Patrick Schwarzkopf, managing director of VDMA Robotics + Automation. “We look forward to continuing the many activities of EUnited Robotics, such as the ‘European Robotics Summit’, advocacy at the European level and the ‘Good Work Charter’ campaign. This is truly a win-win for the European robotics industry.”

Klaus-Dieter Axt, Executive Director of EUnited AISBL, added: “The close cooperation between EUnited Robotics and VDMA R+A is already well established and is reflected in the large overlap in membership of the two association platforms. With this strategic decision, the members of EUnited Robotics will benefit from new synergies and will be able to use the entire range of services offered by VDMA. We will continue the good cooperation between EUnited and VDMA Robotics + Automation in the future.”

Business development remains positive

The Homag Group continues to record a positive business development and was able to significantly increase sales revenue and earnings in the first nine months of 2022.

In the first three quarters of 2022, the Homag Group’s order intake increased again slightly year-on-year by 4 percent to EUR 1,418 million (previous year: EUR 1,367 million). “When comparing order intake with the previous year, it must always be taken into account that 2021 was an outstanding year in terms of orders,” explains CEO Dr. Daniel Schmitt. “The fact that we are back at this very high level in the current fiscal year is a great success.” Demand was particularly strong in North America, where the Homag Group was able to grow by around 50 percent. Due to the high order intake, the order backlog increased to EUR 1,256 million as of September 30, 2022 (Sept. 30, 2021: EUR 1,003 million).

Sales increased by 20 percent to EUR 1,195 million (previous year: EUR 1,000 million). The Homag Group was able to significantly increase its EBIT before extraordinary effects by 38 percent to EUR 92.4 million (previous year: EUR 67.1 million) and already reached the level of 2021 after three quarters. Dr. Daniel Schmitt: “The fact that we were able to increase our earnings so significantly despite the additional expenses due to supply chain problems is mainly due to the efficiency improvements achieved in recent years and the good service business, along with the high capacity utilization. This was also due in particular to the contributions of our employees, who mastered all the challenges with great flexibility.”

As of September 30, 2022, the number of employees in the company had increased to 7,462 (9/30/2021: 7.001). The Homag Group has built up its workforce particularly in the strategically important areas of service and timber house construction.

“We observe that the steadying of demand in the business with furniture manufacturers, which has been expected for some time, is occurring,” says Dr. Schmitt, summarizing further expectations. “However, we do not expect a slump, but a normalization at a high level. In our business with production technology for timber house construction, we expect the growth momentum to continue in view of the trend towards the construction of prefabricated climate-friendly timber houses.”

75% of Display Space already booked

Despite a series of extraordinary challenges, including rising energy prices, material shortages and economic uncertainties in many markets, the woodworking and wood processing industry is in good spirits some six months before “Ligna”. Around two-thirds of “Ligna’s” longstanding exhibitors have already confirmed their participation for 2023, with 75 percent of the available exhibition space already occupied. From 15 to 19 May 2023, the industry will convene at its flagship trade fair in Hannover, Germany.

“This positive trend underscores the importance of “Ligna” for the woodworking community as a key networking hub and platform for development and innovation,” commented Dr. Bernhard Dirr, Managing Director of the VDMA Woodworking Machinery Association, referring to the high level of registrations. “After four years, the industry needs this opportunity for face-to-face contact in Hannover. It is all the more gratifying that all market leaders have already made their decision to exhibit at “Ligna” 2023 and will be unveiling innovations at the event,” he continued. This and next year, “Ligna’s” appeal will be enhanced by digital elements designed to increase the event’s reach – before, during and after the show.

“Based on the current rate of bookings and our discussions over the past few months, we can confirm the high level of loyalty and commitment of our exhibitors towards “Ligna” which provides them with the opportunity to perform live demonstrations – not just of machines and tools, but of total solutions covering all aspects of their products and services,” reported Stephanie Wagner, Head of “Ligna”. “We are convinced that, in close cooperation with our exhibitors, the upcoming “Ligna” 2023 will continue to be the leading international showcase. Along the entire value chain, innovative solutions for all stages of woodworking and wood processing – from harvesting to surface finishing – will be on display. And this, involving not only wood as a raw material – which is at the core of our “Ligna” – but also other materials such as plastics, glass, stone and composites, among others,” she added.

“Online kitchen brand” now also increasingly ships to Germany

Another kitchen brand for the German market: as of now, the Scandinavian brand Nordiska Kök is also available here. Nordiska Kök stands for customized, handmade design kitchens at affordable prices. According to the company’s own information, there was a great demand for deliveries in the direction of Germany on the part of potential end consumers, so they decided to open the web store in the direction of Germany. Indeed, the great peculiarity of Nordiska Kök is that there is no marketing through the trade, but the customer orders directly.

In 2017, Magnus Vansvik, André Stömblad and Johan Lundkvist set out to “revolutionize” the kitchen furniture industry. And at least in Scandinavia, the three managing directors have succeeded quite well.

“We have made it our mission to challenge the traditional kitchen industry, which has been building and selling kitchens in the same way for years. And instead offer quality kitchens made in Sweden in a new digital way. By digitizing the entire buying process – from inspiration to customer conversation – and eliminating dealers and showrooms, we are able to achieve this.

Today, we are proud to be able to offer our customers the opportunity to purchase a unique and fully customized Swedish-made kitchen at a reasonable price,” the three founders explain on the company’s website. Each custom kitchen is expertly designed by Nordiska Kök’s design team in Sweden and then manufactured in a carpentry shop outside of Gothenburg. Previously, there was shipping primarily in Scandinavia and only secondary to Europe. That’s changing now in November, when Nordiska Kök is actively approaching the German market.

“With Nordiska Kök, we are simply creating the buying experience we wanted ourselves,” says Johan Lundkvist, co-founder and creative director. And continues, “It is quite possible to get a design-oriented high-end kitchen at a very good price. By digitizing the entire buying process, from inspiration to order, the customer’s budget is spent where it matters: on high-quality materials, design freedom, custom features and true craftsmanship.”

Nordiska Kök’s award-winning kitchens, whose focus is primarily sustainability and longevity rather than short-lived trends, are conceived, built and designed to last, according to the Swedes. Nordiska Kök has recently received a lot of media attention from consumer magazines such as “Elle Decoration UK,” “RUM,” “Living” and others, which has helped it expand.

Acquires Oskar Nolte GmbH and Klumpp Coatings GmbH

Various U.S. sources (for example PRNewsWire) report that Sherwin-Williams has announced the acquisition of Specialized Industrial Coatings Holding (SIC Holding), a joint venture of Peter Möhrle Holding and GP Capital UG, consisting of Oskar Nolte GmbH and Klumpp Coatings GmbH. It is to become part of the Sherwin-Williams Performance Coatings Group reportable segment. The transaction is expected to close by early 2023, subject to customary regulatory approvals.

Around 16,000 visitors came to Milan

About three weeks ago, the 27th edition of “Xylexpo”, the biennial international technology trade fair for the wood and furniture industry, ended in Milan after four days in halls 22 and 24 of the “FieraMilano-Rho”. And quite with great satisfaction among some exhibitors, even if the pure numbers are sobering: About 12,400 visitors were counted at the hall entrances of the “Xylexpo”, about 4,000 came via the parallel fairs “Viscom Italia” and especially from 33rd “Bimu”. Like other industry events, “Xylexpo” was positively characterized on the days of the fair by the pleasure of meeting again live on a trade show platform.

This year, for the first time, the biennial “Xylexpo” was held concurrently with a digital communications show and a machine tool show organized by Ucimu. Apparently, all three manufacturing technology events together actually provided a higher level of attraction.

Compared to the last “Xylexpo” in 2018, the show didn’t quite match the pre-Corona pandemic numbers. Back then, “Xylexpo” attracted just under 17,800 visitors. The proportion of international visitors fell by around three percent, compared to 28 percent of foreign visitors in 2018. However, this is not surprising in the current times; moreover, traditionally a part of the “Xylexpo” interested visitors always came from China, Russia and Ukraine at the last events.

In any case, Luigi de Vito, President of Eumabois and Acimall, is full of praise: “The figures have not only confirmed the role of ‘Xylexpo’, but also the decisions we have taken for this edition. Like the new layout and the focus on elements that will be the pillars of future trade shows: a different strategy in product presentation and a strong focus on new digital services that can only expand the scope and function of a trade show.”

Making a strong statement – that was the concern of Albert Grumer, managing director of Weinig Holz-Her Italia S.R.L. in Bolzano, when he spoke out in favor of participating in Xylexpo in Milan. “I think our team succeeded well,” he says now, looking back on the leading Italian trade fair for the woodworking industry.

At the beginning of the year, it was still unclear whether the Italian branch should participate in “Xylexpo” from October 12 to 15. “A major German and a major Italian competitor had already decided not to participate, with us it was under consideration. However, I didn’t want to gamble away our success in Italy and wanted to consolidate it further,” Grumer reports of the discussions in the run-up. When the decision was finally made, the managing director did the proverbial nails with heads: with a booth of more than 1,100 square meters, the area had almost doubled compared to the previous “Xylexpo” in 2018. “This made us the second largest exhibitor this year, we had 17 machines under span, a clear sign,” says Grumer. “I’m very happy that we decided to participate in Xylexpo,” says Grumer, summing up his experience in Milan: “The booth was full every day and we wrote a lot of trade show reports, which we are now working up over the next few weeks.”

"Orgatec"

Impresses companies and trade audience

Expectations may have been high, but “Orgatec” 2022 met them all. Exhibiting companies and the international trade audience were all equally impressed by the restart of the leading international trade fair for the modern working world. A total of 686 companies from 43 countries presented their products and solutions for the current and future requirements of our always-evolving working environments. With exhibitor participation at more than 90 percent of the previous event’s level, and with 78 percent of exhibitors coming from abroad, the “Orgatec” 2022 restart after the break imposed upon it by the pandemic was a huge – and very international – success. “Orgatec” also made an impression on the 45,000 trade visitors from more than 130 countries in terms of the content and themes presented. For Koelnmesse Chief Operating Officer, Oliver Frese, this is the result of the trade fair’s consistent conceptual development: “Even before the pandemic, the trade fair had successfully evolved to become a theme- and solution-oriented industry event. This foresight is now paying off. This year, ORGATEC has given a spectacular demonstration of its relevance for the future development of the industry.”

For the industry, “Orgatec” offered the first opportunity in a long time to present ideas for sustainable workplace design in a concentrated form “live”. In addition to the personal exchange, the exhibitors also hoped that the trade fair would provide impulses for the future economic situation in the industry. These expectations have been more than fulfilled in the view of Helmut Link, President of the Interior Business Association (IBA): “This is how a leading trade fair must feel. “Orgatec” 2022 has clearly exceeded our expectations, both in terms of visitor interest and the intensity of the discussions. We have had so many high-level discussions in the last few days as rarely before.” He was also impressed by the presentations of the IBA member companies, which had brought along decidedly creative and forward-looking solutions for current requirements. “This year’s ‘Orgatec’ has thus made a significant contribution to addressing the challenges of the modern working world,” Link concluded.

To be successful, a conceptual development must also be reflected on the stands of exhibitors. That was clearly the case at “Orgatec” 2022. The exhibiting companies fully harnessed their creative potential and showed a particularly high level of innovation this year. That also went down very well with trade visitors. For Dr Eng. Martin Kleibrink, “Orgatec”‘s relevance and importance comes from its function as an industry meeting place and the surprising inspiration it provides: “I always meet new and old friends at ‘Orgatec’. That relates to the people, but also especially to the products. That’s why I always spend at least two days exploring ‘Orgatec’, because all kinds of things to the right and left of the pathways speak to me and capture my imagination.” Which is why the architect from Winterthur in Switzerland also likes to invite his clients to the trade fair to “share his inspiration with them in person”.

In addition to the latest developments in hybrid and flexible working and smart technologies, this year’s focal points of the trade show also included the topic of sustainability. In addition to the presentations of the exhibiting companies, the trade fair once again featured a variety of conferences, discussion forums and expert talks as part of a high-quality event and conference programme. The focus of this programme was on the socio-political importance of modern working worlds, and on the impact of recent changes and current developments on the behaviour of office users and the corresponding strategies of companies. This year, for the first time, themed guided tours of the trade fair were offered, curated by renowned architecture firms and organised specially by architects for architects. The popularity of these tours – with many filling up very quickly – shows how important specialised, yet still personal, insights into the themes of “Orgatec” are for trade visitors.

“Orgatec” 2022 hosted 686 exhibiting companies from 43 countries (2018: 749 companies from 39 countries). They included 149 domestic exhibitors (2018: 181 exhibitors) and 533 companies (2018: 568 companies) from outside Germany, with foreign companies accounting for 78 per cent (2018: 76 per cent) of total exhibitors. Including estimates for the last day of the fair, “Orgatec” 2022 attracted 45,000 visitors from 130 countries.* *All figures were calculated in accordance with the guidelines of FKM, the Society for the Voluntary Control of Trade Fairs (www.fkm.de).

The next “Orgatec” – leading international trade fair for the modern working world – will take place from 22 to 26 October 2024.
