Change of legal form resolved
At the Extraordinary General Meeting of Stabilus S.A. on March 24, it was resolved to change the legal form of the company from a Société Anonyme (S.A.) under Luxembourg law to a European Company (Societas Europaea/SE). As a result, the company will operate under the name “Stabilus SE”.
In addition, in preparation for the transfer of the company’s registered office from Luxembourg to Germany, the nominal value per share will be increased from 0.01 euros to 1 euro and the share capital will be increased from 247,000 to 24.7 million euros from the company’s own funds. The total number of shares issued remains unaffected and is unchanged at 24.7 million shares. The Company’s Articles of Association will be updated in accordance with the resolutions. Furthermore, the Extraordinary General Meeting confirmed the mandates of the Supervisory Board members and the mandate of the auditor.
