"Domotex Asia"/"Chinafloor"

Return to Shanghai in July

China recently announced a nationwide relaxation of COVID19 restrictions. The announcement is a positive sign for the future of the exhibition industry and was received with enthusiasm by both organizers and attendees. Key new relaxed measures include less testing, no extensive lockdowns, and no quarantine at central centers for patients with mild symptoms. The relaxation of regulations represents the most far-reaching changes since the pandemic began three years ago and clearly marks a return to normalcy in China.

Global trade and related imports and exports in the flooring industry are also on the path to a rapid recovery. “Domotex Hannover” was held from January 12 to 15, 2023 after a forced break of two years, and more than 100 Chinese exhibitors attended in person on site. “This is a clear sign of the liberalization of world trade. We believe that the second half of 2023 will mark a strong upturn in international and domestic activities in a more secure environment,” said David Zhong, president of VNU Exhibitions Asia, Ltd, co-organizer of “Domotex Asia”/”Chinafloor.” For this reason, the organizers have also decided that “Domotex Asia”/”Chinafloor” in 2023 will be held at the “National Exhibition and Convention Center” in Shanghai from July 26 to 28, in order to provide the flooring industry with a high-quality event again.

The 2023 edition, which will mark the 25th year of consecutive “Domotex Asia”/”Chinafloor” trade shows, will feature new and proven highlights and events to complement the industry’s largest gathering in the Asia-Pacific region. “Z-Space,” the newest showcase of “Domotex Asia”/”Chinafloor,” spotlights all aspects of multi-dimensional spaces and covers various categories of the floor-wall-ceiling concept. The Hosted Buyer program will once again bring together both on-site and online, high-end buyers with some of the best flooring manufacturers from the region. Hosted Buyers who choose the on-site option will enjoy complimentary accommodation in Shanghai and VIP status at the show, among other benefits. Finally, the “China Flooring Industry Summit Forum” will once again feature 23 renowned experts and outstanding entrepreneurs. Their presentations and discussions will be attended by distinguished industry representatives, including more than 200 flooring companies in China.

In the past three years, due to China’s strict epidemic control policy, in addition to restrictions on international and domestic travel, all commercial activities in the region ultimately came to a standstill. With the adjustment of government policies, the long-term pent-up demand in the Chinese market is expected to become very evident in the coming months. “Domotex Asia”/ “Chinafloor” helps to meet the ever-increasing demand of the flooring industry, and continues to occupy a pole position of the business platform in the Asia-Pacific region.

To acquire Storage Solutions group in the U.S.

German intralogistics pioneer Jungheinrich AG (“Jungheinrich”) is acquiring Indiana-based Storage Solutions group (“Storage Solutions”), a leading provider of racking and warehouse automation solutions in the U.S., to gain enhanced access to the attractive U.S. warehousing and automation market. Jungheinrich has signed a share purchase agreement with Merit Capital Partners, MFG Partners and the management of Storage Solutions for the acquisition of 100% of the share capital in Storage Solutions. The total consideration agreed under the share purchase agreement consists of a purchase price of approximately USD 375 million (which is subject to customary closing adjustments) and a flexible, performance-based component in the mid to high single digit percentage range of the purchase price which can be achieved by the retained Storage Solutions management over three years following completion of the transaction. The acquisition will be financed with available cash and debt with limited leverage impact.

Storage Solutions, headquartered in Westfield, Indiana, is a U.S. warehouse design, automation and integration company with 170 employees and 45 years of experience in delivering turnkey, best-fit solutions to customers. Based on a technology-agnostic business model, the company has achieved a strong position in the attractive U.S. warehousing market which benefits from robust long-term growth dynamics. It offers unique vertically integrated service lines with in-house logistics and installation teams, ensuring on-time project completion and providing value-added services including workflow optimisation, engineering and permitting.

Storage Solutions is a trusted partner to a large and growing customer base with a strategic focus on companies who need integrated warehouse design, technical and project management support and competencies. Its recurring customer base includes a broad range of leading brands, for example in the third-party logistics, e-commerce, retail, food and beverage and industrials sectors. For 2022, Storage Solutions is set to report revenues of approximately USD 290 million and an adjusted EBIT of approximately USD 34 million.

For Jungheinrich, the acquisition is highly complementary to its global footprint and will further strengthen the company’s market position. It is a unique opportunity to enter a large and rapidly growing market segment with a strategic foothold in the U.S. The market coverage of Storage Solutions will provide Jungheinrich with access to key logistics hubs in the U.S. and the opportunity to support the existing European customer base in this market. Acquiring a growth platform in the U.S. also provides additional mid-term potential to build a presence in the adjacent countries Canada and Mexico. The acquisition will sit alongside and not have any impact on the existing partnership of Jungheinrich with Mitsubishi Logisnext Americas (MLA), which will remain the sole activity of Jungheinrich in the North American forklifts market.

By combining the expertise and capabilities of both partners, Jungheinrich and Storage Solutions will jointly drive the further development of innovative automation solutions. Warehouse automation is a priority for customers both of Storage Solutions and Jungheinrich, with an expected global market growth of 10% (CAGR) in the period of 2021 to 2025.

The acquisition is expected to be accretive to EPS, free cash flow per share and adjusted EBIT margin from the beginning. The 2025+ goal of 20% of sales outside Europe, in particular through inorganic growth, will be underpinned by the addition of USD 300+ million annual revenues from Storage Solutions. Furthermore, the service-oriented business model of Storage Solutions allows for an asset-light approach with limited capital expenditure requirements, thereby strengthening Jungheinrich’s cash generation and resilience.

Dr Lars Brzoska, Chief Executive Officer of Jungheinrich: “The acquisition of Storage Solutions is an important step in the implementation of our 2025+ strategy. It is an excellent opportunity to expand our geographic footprint in the U.S. and adds a strong strategic platform for growth in warehouse automation across the region. Storage Solutions is a well-established and successful business with an attractive customer base and an excellent management team. We see great opportunities in combining the warehouse and automation capabilities of both parties to the benefit of customers in the U.S. as well as our European customers with operations in North America.”

Kevin Rowles, Chief Executive Officer of Storage Solutions: “The next level of growth in our industry will be driven by an increasing need for warehouse automation. Storage Solutions has established solid capabilities in racking as well as automation and digitalisation which we are seeking to expand further, as demand is continuously accelerating on the back of strong underlying fundamentals. Together with Jungheinrich, we look forward to jointly capturing the upside for further growth.”

The executive board and supervisory board of Jungheinrich have approved the transaction. The completion of the acquisition, which is expected to take place in the second quarter of 2023, is subject to customary closing conditions, including receipt of the merger control clearance in the United States.

Morgan Stanley & Co. International plc is acting as financial advisor to Jungheinrich and Freshfields Bruckhaus Deringer is acting as legal advisor, while Deloitte has provided support during the due diligence process. Baird is acting as financial advisor to Storage Solutions and Goodwin Procter LLP is acting as legal advisor.

New press for the Tolko site in High Prairie

Dieffenbacher has been contracted by Tolko Industries Ltd. to supply the core components of a “Cebro” OSB line for the High Prairie plant in the Canadian province of Alberta. On May 20, 2022, a major fire in the press shop had damaged the Dieffenbacher twelve-daylight press commissioned by Tolko in 1995, as well as most of the upstream and downstream trades, to such an extent that it amounted to a total loss. As a replacement, Tolko has now ordered, among other things, a modern continuous press of the “CPS+” type from the plant specialist.

The scope of supply for the reconstruction of the Tolko plant in High Prairie also includes the forming station and the forming train as well as the raw plate transport system. In line with the “Cebro” smart plant concept, the press exhaust air purification system and intelligent shop air management will improve the sustainability of the plant by ensuring clean air inside and outside the production shop. The new “Evoris” digitalization solution and the “MyDieffenbacher” digital service platform will also help to make the new plant a “smart plant” in the truest sense of the word.

“We were thrilled that Dieffenbaccher was on hand so quickly to help us after the fire,” reports Fred Chinn, Vice President Strand-Based Business at Tolko. “Once everything is rebuilt, our High Prairie location will be even more efficient than before,” he adds. Tolko predicts the new plant will produce its first slab before the end of 2023. After commissioning, it is then expected to produce up to 734,000 m³ of OSB per year.

"Imm Cologne"

Returning to its January dates in 2024

The Interior Business Event “IMM Cologne” will take place in January 2024 over five days from Sunday, 14 January, to Thursday, 18 January, at Koelnmesse’s trade fair grounds in Cologne. After the enforced break due to the pandemic and the “IMM Spring Edition” in June 2023, Germany’s biggest interior trade fair will return to its established January dates from 2024 onwards to launch the new interior design year. The event will continue the journey towards a redefined “IMM Cologne” that it has embarked upon with the “IMM Spring Edition”. Like the special event in June 2023, “IMM Cologne” 2024 is designed for effective business with amended dates and a focus on trade visitors.

Right at the start of the new year, “IMM Cologne” 2024 is the ideal platform for an industry gathering that brings the global interior design scene together – making it the ideal opportunity to get a feel for emerging trends. The trade fair is an invitation to present new collections and product innovations, to exchange ideas and trends, and to establish new contacts and nurture existing relationships.

“In close consultation with the industry and the associations involved in the event, we’re delighted to be able to announce that ‘IMM Cologne’ will return to its usual January dates from 2024. The start of the year always has a unique dynamic, which makes it the perfect time for the industry and the retail and wholesale trade to gather and design tomorrow’s living spaces together,” says Gerald Böse, Chief Executive Officer of Koelnmesse. This view is shared by Elmar Duffner, President of the Association of the German Furniture Industry (VDM): “We welcome this early decision on ‘IMM Cologne’s’ future dates. The announcement will make planning easier for our manufacturers. There is strong support in the industry for an imm cologne in January – the event has been a firm fixture on the calendar for decades.”

With new headquarter in Florida

On January 1, 2023, Baumer of America (BoA) opened the doors of its new trading and production site in Florida. Moving the head office from Towaco in New Jersey is the second relocation in a history of more than 40 years. Founded in 1979 the business developed rapidly from the attempt to anchor first business relations to a completely independent subsidiary that nowadays does not only serve American customers, but also those in Canada and Mexico.

Since 1992 the team started the manufacturing of band knives at its new headquarter in NJ that was chosen to be prepared for upcoming further development and increased services. In 2006 this location opened a machine showroom to demonstrate new technology. Some years later the corporate office was refurbished with increased blade production and used machines being sold from 2015. Now that the team counts more than 40 employees. BoA tripled in size during the last five years and still has ambitions for further growth – therefore a new and bigger headquarter had to be acquired.

“We have now outgrown the New Jersey location over the past years”, states BoA’s CEO Uwe Scharfy. “With only this location, an expansion towards the North American market would not have been possible. We therefore decided on the new location in order to be able to cover larger parts of the USA, Canada and Mexico in terms of both, service and support.” The new complex in Tampa offers 250m² of office space and 3,300m² of commercial space.

Next to the existing in-house knife production, BoA is expanding to include additional production and assembly space to serve the US American customers in a more efficient way. Also, a larger showroom and testing center is included to provide opportunities for test cuts and other demonstrations with customers. In the future the BoA team will also take care of the pre-assembly and delivery of Bäumer’s new development “Contour V-blade” to the North American market. The vertical contour cutter was presented to the North American customers in 2022 at “Foam Expo Novi” and has since become the absolute darling of the industry with 8 machine sales.

“We really want to use our new location to acquire new customers who currently do not claim our services or knives”, says Scharfy. The new locality will bring the possibility of faster responses when it comes to service and support all over the United States.

Representatives of the mother company Albrecht Bäumer GmbH & Co. KG in Freudenberg, Germany, stated how impressed they are by the great development of BoA. Christoph Hauck, CEO of Bäumer in Germany, was delighted: “The new Tampa site is an impressive development compared to Towaco. Bäumer is now playing in a different league in North America.” Both Executive Officers, Scharfy and Hauck, are fully convinced that this great step will be having a positive impact on the company, not only in the US but for the company worldwide. Within the next five years the new location is to be continuously expanded and extended to 5000 m².

Of course, the new location strategy was not only developed to create more space for the team, but also to have the chance to increase customer centricity even more. In the future the administration and technical support departments will still operate from Towaco. Also, the sales team will remain working from all over the country, visiting the customers on site on a regular basis. The Florida headquarter will have the role of the center of customer support, greeting guests at the testing center and offering more space for the presentation of individual solutions and high-quality band knife production.
As transportation routes can be shortened, it is a goal to further speed up the delivery of all BoA goods that are exclusively made in America, such as several machine upgrades (Retrofits).

The further development of a retrofit strategy is also part of Scharfy’s agenda. Over the past years, upgrading machines has become a quickly amortizing alternative to purchasing a new machine. Especially in cases of a machine failure, which can be dissolved by a retrofit, Baumer of America will be able to act even faster at the customer’s side in the future. The concept of purchasing old machines has also proved successful in the past and is to be continued in Florida. In-house, used Bäumer machines are completely revised and brought up to the latest technical standard with the help of retrofits before being resold. A solution for the market that is not only cost-effective but also sustainable.

The whole staff of Baumer of America has gone through a nerve-wracking period during the last few months. “In addition to organizing the set-up of a new location in Tampa, daily business went on as usual. That time was stressful for everyone,” reports Uwe Scharfy. Nevertheless, everyone in the team is now looking forward to new challenges in Florida with even closer relationships to the existing Baumer customers and new opportunities of tapping into new ones.

Management Board restructured

The Felix Schoeller Group is entering 2023 with a reshuffled Management Board, with Hans-Christoph Gallenkamp relinquishing global sales responsibility as part of the realignment. From January 1, 2023, he will once again focus more on his duties as Chairman of the Management Board with strategic issues.

The duties as CSO will be taken over by the current CFO Matthias Breimhorst. In his new role as CSO, he will be responsible for global sales and supply chain management. One focus of his duties will be the strategic further development and strengthening of the Group’s global sales activities in the international market for high-quality specialty papers. “Not least in the current challenging times, it is particularly important for us to be a reliable partner and to develop new ways and solutions for the future together with our customers,” says Breimhorst.

The position of CFO will be filled by Astrid Enge as a new member of the holding company’s management. Astrid Enge brings with her many years of experience as a managing director in various family-owned companies in the mechanical and plant engineering sector. Most recently, she was CFO at the Saacke Group. “We are delighted that Ms. Enge is joining us with her extensive expertise in finance. She focuses on the financial performance and development of the group,” said Gallenkamp.

Unchanged members of the Felix Schoeller Group Executive Board are Georg Haggenmüller (COO), Michael Szidat (CEO Americas) and Yong Li Gao (Vice CEO APA).

Record in 2022

“2022 was a really great year for my companies #Salvamac and #IzmirLaser. Product range expansion, innovation and investment are the ingredients of success.” Christian Salvador, owner of Salvamac Group, started the new fiscal year with this euphoric statement on the social media platform LinkedIn.

And according to him, this positive development will continue for the time being: “All indicators are pointing upwards. Which confirms the correctness of the strategies adopted in many markets to face the numerous economic and structural changes that have taken place.”

Salvador continues, “In the more than 20 years I’ve been in this business, I’ve seen incredible satisfaction in the last year. We believe strongly in human relationships: Our customer is not a serial number, but a person with a name and needs. Customers must be satisfied and happy with our machines in order to smile. People must be at the center of everything.” Salvador and his team naturally enter 2023 with this resolution in mind.

“Unlike many others, we stand up for what we do, take responsibility. We have to believe in what we are doing and combine that pinch of emotion with a big dose of calculation and intelligence. We have to think like a large multinational and act with the agility of a small company with short decision-making paths. Because the big fish don’t always eat the small fish – sometimes the fast ones eat the slow ones…” With these flowery words, the likeable Italian announces “incredible news” for the coming months.
