Acquires business units from Omnova Solutions

Surteco Group, through its subsidiary Surteco North America, is acquiring the business units “Laminates and performance films and coated fabrics” from Omnova Solutions Inc, a subsidiary of Synthomer. A purchase agreement was signed today. The acquisition is subject to customary closing conditions, including regulatory approval and Synthomer shareholder approval.

The businesses specialize in the production and distribution of laminates, films and vinyl-coated fabrics and employ a total of cira 880 people at sites in the USA and Thailand. Sales in 2021 amounted to 240 million euros and earnings before interest, taxes, depreciation and amortization (EBITDA) to 30.36 million euros.

The total purchase price amounts to 242 million euros. Surteco is financing the transaction through bridge financing.

With the acquisition of these businesses, the Surtco Group (2021: sales €757.1 million; EBIT €72.5 million; approx. 3,100 employees) aims to strengthen its market presence in the USA and Asia and expand its product portfolio.
